TERMS AND CONDITIONS OF USE
PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING THE SERVICES OFFERED BY THE INSTITUTE FOR FUNCTIONAL DENTISTRY ("IFD," "WE," "US," OR "OUR"). THESE TERMS GOVERN YOUR ACCESS TO AND USE OF IFD'S ONLINE LEARNING PLATFORM, COURSES, AND RELATED SERVICES (COLLECTIVELY, THE "SERVICES"). BY ACCESSING, REGISTERING FOR, OR USING THE SERVICES, YOU ("USER," "STUDENT," OR "YOU") ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT ACCESS OR USE THE SERVICES.
1. Acceptance of Terms; Modifications
IFD provides its Services through its online learning management system (the "Platform"), hosted by LearnWorlds. By creating an account, enrolling in a course, or accessing any content, you agree to these Terms and Conditions, our Privacy Policy, and any other guidelines or rules posted. IFD reserves the right to modify these Terms at any time. We will provide notice of material changes via the Platform or email. Your continued use after such notice constitutes acceptance of the new Terms.
2. Eligibility; Account Registration
You must be at least 18 years old and have the legal capacity to enter into a contract to use the Services. You agree to provide accurate, current, and complete registration information and to maintain the security of your login credentials. You are solely responsible for all activities under your account. You must notify IFD immediately of any unauthorized use.
3. Educational Purpose and Nonprofit Mission
IFD is an Oregon-registered 501(c)(3) nonprofit organization. All Services, including certificate and professional education courses, are provided to further IFD's charitable and educational mission: to advance the knowledge and practice of functional dentistry. Your use of the Services is for your individual educational and professional development only. You agree not to use the Services for any purpose contrary to IFD's nonprofit mission.
4. User Ethics and Professional Code of Conduct
As a user of IFD’s professional educational platform, you agree to uphold the highest standards of ethics and professional conduct, consistent with the expectations of the dental and medical communities. This includes, but is not limited to:
Professional Integrity: You will represent your credentials, qualifications, and professional standing truthfully in all interactions within the Platform.
Academic Honesty: You will complete all coursework, assignments, and assessments with integrity. Cheating, plagiarism, misrepresentation of your work, or facilitating academic dishonesty for others is strictly prohibited.
Respectful Discourse: In all communications, including forum posts, live session chats, and peer interactions, you will engage respectfully and constructively. Harassment, discrimination, personal attacks, bullying, or the use of derogatory language based on race, gender, sexuality, religion, nationality, or any other protected class will not be tolerated.
Patient Confidentiality: You will not share Protected Health Information (PHI) or any identifiable patient details within the Platform, including in case study discussions, unless you have explicit, written patient consent and have fully anonymized the data in accordance with HIPAA and all applicable laws.
Respect for Intellectual Property: You will adhere strictly to the intellectual property restrictions outlined in Section 5, understanding that the unauthorized sharing or commercial exploitation of IFD’s proprietary content violates these ethics and may constitute a breach of your professional licensing standards.
Responsible Application of Knowledge: You acknowledge that you are solely responsible for integrating learned concepts into your practice within the bounds of your professional license, scope of practice, and applicable laws and standards of care.
Violations of this Code of Conduct may result in immediate suspension or termination of your account, forfeiture of fees, and, in cases of serious ethical breaches, may be reported to relevant professional licensing boards.
5. Fees, Payment Plans, and Refunds
5.1 Paid Services: Certain courses or certificate programs require payment of fees ("Paid Services"). You agree to pay all applicable fees as described at the point of enrollment.
5.2 Payment Plans: IFD may offer a payment plan option for certain Paid Services. By electing a payment plan, you authorize IFD (via its third-party payment processor) to charge your chosen payment method on a recurring monthly basis until the total fee is paid. It is your responsibility to ensure payment details are current and valid.
5.3 Failed/Declined Recurring Payments: If a scheduled payment under a payment plan is declined or fails:
* Your account will be flagged as "Past Due."
* You will have a 30-day grace period to update your payment method and resolve the outstanding payment.
* IFD will not prorate fees or provide refunds for periods of lapsed access. The full monthly payment remains due.
* Failure to resolve the payment within the 30-day grace period will result in the temporary suspension of your access to the Platform, course content, and certificate program progress until the account is brought current. Delays in program completion due to payment-related suspension are solely your responsibility.
5.4 Refunds: All fees are non-refundable except as expressly stated in a separate Refund Policy posted on the Platform or as otherwise required by Oregon law. IFD reserves the right to change fees for future enrollments at any time.
5.2 Payment Plans: IFD may offer a payment plan option for certain Paid Services. 6. Intellectual Property Rights and Use Restrictions
6.1 Ownership: All content provided through the Services, including but not limited to video lectures, slides, documents, text, graphics, logos, quizzes, course structures, and certifications (collectively, "Content"), is the exclusive property of IFD, its faculty, licensors, or contributors and is protected by copyright, trademark, and other intellectual property laws.
6.2 Limited License: Upon enrollment in a course and subject to your compliance with these Terms, IFD grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Content solely for your personal, non-commercial, educational and professional use in completing the course. This license permits you to download, copy, and use specific resources (e.g., worksheets, checklists, reference guides) explicitly provided by IFD as downloadable educational tools, solely for your own application in your clinical or professional practice. This license does not permit the redistribution, republication, public display, or creation of derivative works for any purpose, commercial or non-commercial.
6.3 Faculty Content: Content created by IFD's faculty, instructors, or guest speakers ("Faculty Content") is provided for your individual learning. You acquire no ownership rights in any Faculty Content.
6.4 Prohibition on Recording and Commercial Exploitation: YOU EXPRESSLY AGREE THAT YOU ARE PROHIBITED FROM RECORDING, CAPTURING VIA SCREENSHOT, SCREEN-CASTING, OR OTHERWISE CREATING A FIXED COPY OF ANY VIDEO LECTURE, LIVE SESSION, OR SIMULATION. The "non-commercial" restriction in these Terms specifically prohibits you from using, reproducing, or packaging IFD's Content (including Faculty Content) to create your own paid educational program, course, seminar, or any other commercial training product. This restriction does not apply to the commercial application of the knowledge, skills, and methodologies learned within your own legitimate dental or medical practice, which is the intended purpose of this continuing education.
6.5 Certificate of Completion: Upon successful completion of a certificate course, IFD grants you a certificate. The certificate is for your individual professional development and may be used to demonstrate course completion to employers, licensing boards, or professional organizations. You may not modify, falsify, or use the certificate in a manner that misrepresents your qualifications or implies an endorsement by IFD beyond certification of course completion.
7. User Data and Privacy
7.1 Data Usage Consent: By using the Services, you consent to IFD's collection, use, and disclosure of your personal information and usage data as described in our Privacy Policy.
7.2 Internal and Mission-Critical Use: You grant IFD a perpetual, royalty-free license to use your user data (including anonymized, aggregated data and specific usage data) for internal purposes essential to its nonprofit mission. This includes improving educational offerings, conducting academic research, reporting to grantors and oversight bodies, and demonstrating organizational impact.
7.3 Third-Party Marketing: IFD will not sell your personal data to third parties for their marketing purposes. IFD may only share your personal data (such as name and contact information) with specifically selected third parties for their direct marketing purposes with your explicit, prior, opt-in consent. You may manage your communication preferences at any time via your account settings or by contacting IFD.
8. User Conduct and Responsibilities
You agree not to:
Redistribute, republish, publicly perform, or create derivative works from any Content, except as explicitly permitted in Section 6.2 for downloadable educational tools.
Record, copy, or duplicate any video, audio, or live session content.
Use the Content to create a competing or commercial educational product or service.
Reverse engineer, decompile, or attempt to extract source code from the Platform.
Use the Services for any illegal purpose or in violation of any laws.
Violate the User Ethics and Professional Code of Conduct outlined in Section 4.
Share your account access or use another user's account.
9. Disclaimer of Warranties; Limitation of Liability
9.1 Educational Nature: THE SERVICES AND CONTENT ARE PROVIDED FOR PROFESSIONAL EDUCATION AND INFORMATIONAL PURPOSES WITHIN THE FIELD OF DENTISTRY AND RELATED HEALTHCARE DISCIPLINES. THEY ARE INTENDED TO SUPPLEMENT, NOT REPLACE, YOUR PROFESSIONAL JUDGMENT, CLINICAL TRAINING, AND COMPLIANCE WITH ALL APPLICABLE LAWS, REGULATIONS, AND STANDARDS OF CARE. YOU ARE SOLELY RESPONSIBLE FOR HOW YOU APPLY ANY KNOWLEDGE GAINED IN YOUR PRACTICE. IFD, ITS DIRECTORS, OFFICERS, EMPLOYEES, FACULTY, AND AGENTS DISCLAIM ALL LIABILITY FOR ANY ACTIONS YOU TAKE OR DO NOT TAKE BASED ON THE SERVICES OR CONTENT.
9.2 "As Is" Basis: THE SERVICES AND CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. IFD DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9.3 Limitation of Liability: TO THE FULLEST EXTENT PERMITTED BY OREGON LAW:
(A) IN NO EVENT SHALL IFD, ITS AFFILIATES, OR THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES.
(B) IFD'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO IFD IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
9.4 Release: YOU HEREBY RELEASE, DISCHARGE, AND HOLD HARMLESS IFD, ITS GOVERNING BOARD, OFFICERS, EMPLOYEES, FACULTY, AND AGENTS FROM AND AGAINST ANY AND ALL CLAIMS, DAMAGES, LIABILITIES, COSTS, AND EXPENSES (INCLUDING ATTORNEYS' FEES) ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES, YOUR VIOLATION OF THESE TERMS OR THE CODE OF CONDUCT, OR YOUR APPLICATION OF THE KNOWLEDGE GAINED.
10. Indemnification
You agree to indemnify, defend, and hold harmless IFD and its affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use or misuse of the Services or Content, including any unauthorized redistribution or commercial exploitation prohibited herein; (b) your violation of these Terms or the User Ethics and Professional Code of Conduct; (c) your infringement of any intellectual property or other right of any person; or (d) your application of concepts learned in a clinical or professional setting.
11. Termination
IFD may suspend or terminate your account and access to the Services at its sole discretion, without notice, for conduct that IFD believes violates these Terms or the Code of Conduct, is harmful to other users, IFD, or third parties, or for any other reason, including non-payment as outlined in Section 5.3. Upon termination, your right to access Content immediately ceases, and you must destroy any copies of Content in your possession.
12. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Oregon, USA, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the state or federal courts located in Multnomah County, Oregon, and you hereby consent to personal jurisdiction and venue in such courts.
13. Miscellaneous
These Terms constitute the entire agreement between you and IFD. If any provision is found invalid, the remaining provisions remain in full force. IFD's failure to enforce any right is not a waiver of that right. You may not assign your rights under these Terms.
